Terms of Service
1 — Purpose and Scope
These Terms of Service (hereinafter "ToS") define the terms and conditions under which Arcivo provides its professional clients with a hosted private document management service. Use of the service implies full and complete acceptance of these ToS.
2 — Description of the Service
Arcivo provides a managed document intelligence service for professionals, including: deployment and configuration of a private document workspace on a dedicated server, secure access via web interface (HTTPS/TLS), Optical Character Recognition (OCR) and automatic document indexing, daily automatic backups, technical updates and maintenance, and customer support via email and WhatsApp.
3 — Service Access
Access to the service is strictly personal and reserved for the client who subscribed to the corresponding offer. Login credentials are confidential and cannot be shared or transferred. Arcivo reserves the right to suspend access in the event of abnormal use or use contrary to these ToS.
4 — Pricing and Billing
The current rates are as follows: Starter Offer at 29 CAD per month, Pro Offer at 49 CAD per month, Business Offer quoted on a custom basis. These prices are expressed excluding applicable taxes. Arcivo reserves the right to revise its rates with a minimum notice of 30 days communicated by email.
5 — Payment Terms
Payment for the service is made monthly according to the terms agreed upon during the service commitment. In the event of non-payment by the due date, Arcivo will send a reminder by email. Without regularization within 7 calendar days, Arcivo reserves the right to suspend access to the service until actual payment, without prejudice to the sums due.
6 — Availability Commitments
Arcivo commits to maintaining a service availability of 99.9% on a monthly basis, excluding scheduled maintenance operations. Maintenance interventions are announced by email with a minimum notice of 24 hours. In the event of unscheduled downtime exceeding 4 consecutive hours, Arcivo will inform the client as soon as possible.
7 — Data Protection and Confidentiality
Arcivo undertakes never to access the client's documentary data except upon explicit and written request from the client as part of a technical support intervention. Data is hosted on a dedicated private server, isolated from any other client environment, in compliance with PIPEDA and applicable provincial laws. 8 — Termination
Either party may terminate the service relationship by written notice to the other party's email address, with a notice period of 30 calendar days. At the end of this notice period, Arcivo proceeds to export and deliver the data to the client within 7 days, then to the definitive and irreversible deletion of all data within 30 days.
9 — Limitation of Liability
Arcivo's liability under these ToS is expressly limited to direct and proven damages. In any event, the maximum compensation that may be charged to Arcivo shall not exceed the total amount of sums actually paid by the client during the three months preceding the event giving rise to the damage.
10 — Governing Law and Modification of ToS
These Terms of Service shall be governed by and construed in accordance with applicable Canadian federal law and the laws of the province of the client. Arcivo reserves the right to modify these ToS at any time. The client will be informed by email of any substantial modification with a minimum notice of 30 days. Continued use of the service after the entry into force of the new ToS implies acceptance of them.
